Beta Terms

These Terms govern taking part in the Riprea Beta, the online software for pre-production and production of films, commercials and videos (the “Service”), on riprea.com and in the app. By creating an account you accept them. If you use Riprea on behalf of a company, you confirm that you can bind it to these Terms.

The Beta is a test version. The Service is still being developed: there may be bugs, interruptions and, in rare cases, data loss (see section 6).

1. Who provides the Service

Riprea, sole proprietorship, VAT number 02156780898. Email: support@riprea.com.

2. What the Beta is

• The Beta is a trial period of the Service open to a limited number of people: at most 50 accounts, including people invited to projects. Once the limit is reached, sign-up is closed until the official launch.
• During the Beta every account has all the features of the Team plan, including sharing projects with up to 8 collaborators.
• During the Beta there are no subscriptions or payments: we do not ask for payment details and do not charge you anything.
• It is expected to last about one month, with no guarantee: the Beta ends with the official launch, which we will announce by email (section 7).
• Your reports and suggestions are the reason for the Beta: write to us at support@riprea.com. We may use them to improve Riprea without this entitling you to any payment.

3. Account

• You must be at least 18 years old to use Riprea: the date of birth requested at sign-up is used to check this.
• The information you provide must be true and up to date.
• Your account is personal: do not transfer it or share your password. To work with other people, use invitations. You are responsible for what happens with your credentials: if you suspect unauthorised access, write to us immediately at support@riprea.com.

4. Licence to use the Service

For the duration of the Beta and of your account we grant you a personal, non-exclusive, non-transferable and revocable licence to use Riprea through a browser, including for work and commercial productions. All rights in the software, brand, graphics and website texts remain ours.

You may not:

• resell, rent or let others use the Service or access to your account;
• copy, decompile or try to derive the software’s code;
• extract data from the Service with automated programs or overload it;
• use the Service, its texts or its features to train artificial intelligence systems or to build a competing product;
• circumvent limits, access controls or security measures;
• upload unlawful content, malware or material that infringes the rights of others.

5. Your content

Scripts, breakdowns, images, shooting schedules, call sheets, messages and any other material you upload or create in Riprea (the “Content”) remains yours. We acquire no rights in your work.

To run the Service you only give us permission to store, back up, process and show the Content to you and the people you invite, for as long as the account exists. We do not publish or sell the Content and we do not use it to train artificial intelligence systems.

You confirm that you hold the rights needed for what you upload and that its use in Riprea does not infringe anyone’s rights.

Reports. If you believe there is unlawful content in Riprea, write to support@riprea.com saying where it is and why it is unlawful. This is also our point of contact under Regulation (EU) 2022/2065 (Digital Services Act).

6. Bugs and possible data loss

• The Beta is meant to find problems: there may be bugs, features that do not behave as expected, interruptions of the Service and even significant changes to features.
• Data loss may occur, for example because of a software error or during an update. We keep backups, but we cannot guarantee that everything can be recovered.
• Do not use Riprea as the only archive of your documents: download the important ones regularly (PDF, Excel and Word) and check call sheets, shooting schedules and budgets before using them on set.

7. End of the Beta and official launch

• At the official launch we will email you the new Terms, plans and prices. To keep using Riprea we will ask you to accept the new Terms; if you do not accept them, you can close your account.
• From then on your account moves to the Free plan. Your Content stays, but the Free limits apply: while you exceed them you cannot add new items of that kind. People you invited to your projects lose access until you move to a plan that allows sharing.
• As a Beta participant you will get a discount on the Team plan, on terms we will tell you at launch.

8. Closing your account and loss of content

• You can close your account from your profile. For 30 days you can still log in and cancel the request; after 30 days we permanently delete the account, projects, images and related data.
• Before closing your account, download the documents you need: after deletion we cannot recover them.
• We may suspend or close an account that seriously breaches these Terms or the law, after warning you where possible.

9. Support

Support is by email at support@riprea.com, on working days, with no guaranteed response times. The Beta does not include consultancy or custom work on your productions.

10. Liability

The Beta is offered at no cost and as is, as a test version. Riprea is a working tool: call sheets, shooting schedules and budgets remain your responsibility and must be checked before use on set.

To the extent permitted by law we are not liable for data loss, interruptions of the Service, loss of profit or indirect damage arising from use of the Beta. These limitations do not apply in case of wilful misconduct or gross negligence.

For consumers, all protections of the Italian Consumer Code remain in force and the limitations above do not apply beyond what the law allows.

11. Changes to the Terms

During the Beta we may update these Terms and the features of the Service. Significant changes are notified by email at least 7 days in advance; if you disagree you can close your account. By continuing to use the Service after that date you accept them.

12. Personal data of third parties in your projects

In your projects you often enter other people’s data: actors and casting candidates, crew, location contacts, people you invite. For this data you are the controller and Riprea processes it on your behalf as a processor (Article 28 of EU Regulation 2016/679, “GDPR”). This section is the agreement that governs that processing.

1. Subject matter and duration. We process the data only to provide you with the Service, for as long as your account exists. Types of data: identification and contact details, roles, availability, images and notes you enter; categories of data subjects: the people involved in your productions.
2. Instructions. We process the data according to your instructions, given by these Terms and by the way you use the Service. We will let you know if an instruction seems unlawful to us.
3. Confidentiality and security. Anyone accessing the data on our behalf is bound by confidentiality. We take appropriate measures: encrypted connections, project access limited to you and the people you invite, access controls on the database.
4. Sub-processors. We use the providers listed below, bound by equivalent obligations. We notify you by email at least 30 days before adding or replacing one: if you have a legitimate reason to object, you can close your account.

5. Transfers outside the EU. When a provider processes data outside the European Union, the transfer takes place with the safeguards of the GDPR (adequacy decision or standard contractual clauses).
6. Assistance. We help you, as far as reasonable, to respond to requests from data subjects and to meet your obligations on security, data breaches and impact assessments.
7. Breaches. If we discover a data breach affecting you, we notify you without undue delay, with the information we have.
8. End of processing. When the account is closed we delete the data as described in section 8, unless the law requires otherwise.
9. Audits. On reasonable request, we provide you with the information needed to demonstrate compliance with this agreement.

As the controller, it is up to you to inform these people and to have a legal basis for processing their data. For the data we process as controller, such as your account data, the Privacy Policy applies.

13. Governing law and disputes

• These Terms are governed by Italian law.
• If you are a consumer, the court of the place where you live has jurisdiction and the mandatory rules of your country of residence remain in force.
• If you are a business customer, the court of the provider’s registered office has exclusive jurisdiction.
• Before going to court, write to us at support@riprea.com: most problems are solved that way.

14. Specific approval of clauses

Under Articles 1341 and 1342 of the Italian Civil Code you specifically approve these clauses: 4 (prohibited uses), 6 (bugs and possible data loss), 7 (end of the Beta and move to the Free plan), 8 (suspension and closure of the account), 10 (limitations of liability), 11 (unilateral changes), 13 (jurisdiction).

For the data we process as controller, the Privacy Policy applies.
